Section 4. Participation in Promotions of Advertisers

ACUTIMES assumes no liability, obligation or responsibility for any portion of such correspondence or promotion.

Section 5. Disclaimer and Limitation of Liability for AcutimesMall

The Web Site provides an online shopping area through AcutimesMall. The merchant who actually sells the products or services via AcutimesMall is responsible for the delivery of the products or services and the product liabilities whether based on warranty, contract, tort or any other legal theory if there is any. In no event shall ACUTIMES be the seller of the products or services and be liable for the product liabilities in relation to the products or services sold via AcutimesMall unless otherwise expressly provided on the Web Site. In the case that ACUTIMES is held to be liable for any products or services sold through AcutimesMall, whether based on warranty, contract, tort or any other legal theory, you agree that ACUTIMES’ maximum aggregate liability shall not exceed the amount actually paid by you for such product or service.

6.1 Information Collection, Sharing and Disclosure. It is ACUTIMES’ policy to respect the privacy of its users. When you sign up as a ACUTIMES Netizen, ACUTIMES will require your name, email address, gender, date and place of birth, education, occupation, yearly household income, zip code and any other information as required ("Registration Data"). You may also delete your ACUTIMES Netizen account information and preferences by (i) emailing your deletion request to ACUTIMES while your ACUTIMES login ID and password have been verified; (ii) replying to the "Netizen welcome letter" with "Remove" in the subject line; or (iii) forwarding a copy of "Weekly Newsletter" to cancelnewsletter@staff.Acutimes.com with "Remove Account" in the subject line.

6.4 Advertisements. ACUTIMES may, on behalf of its advertisers, display or send targeted advertisements to you based upon nonpublic personal information about you, provided however that in the process of doing so, ACUTIMES will not disclose any nonpublic personal information about you to the advertisers. Such advertisers include both financial service providers and non-financial service providers. If you feel interested in such advertisement and respond accordingly, any personal information you give to the advertisers may give the advertisers a clue about the characteristics used by them to select the audience for the advertisement. Section 8. LIMITATION OF LIABILITY

ACUTIMES’ MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED (I) THE TOTAL AMOUNT PAID BY YOU TO ACUTIMES IN CONNECTION WITH THE SERVICES UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE FIRST DATE THE LIABILITY AROSE IF SUCH SERVICES HAVE BEEN PROVIDED BY ACUTIMES TO YOU MORE THAN TWELVE (12) MONTHS OR (II) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO ACUTIMES IN CONNECTION WITH THE SERVICES UNDER THIS AGREEMENT IF SUCH SERVICES HAVE BE PROVIDED BY ACUTIMES TO YOU LESS THAN TWELEVE (12) MONTHS.

Section 9. User Submissions

Generally, any communication that you to the Web Site is considered to be non-confidential. If certain Web pages permit the submissio post n of communication that will be treated by ACUTIMES as confidential, that fact will be stated in Legal Notices on those pages. By posting communications to the Web Site, you automatically grant ACUTIMES a royalty-free, perpetual, irrevocable nonexclusive license to use, reproduce, modify, publish, edit, translate, distribute, perform, and display the communication alone or as part of other works in any form, media, or technology whether now known or hereafter developed, and to sublicense such rights through multiple tiers of sublicensees. The downloading and use of such software is conditioned on your agreement to be bound by the terms of the License Agreement.

You agree to defend, indemnify, and hold harmless ACUTIMES, its subsidiaries, affiliated companies, officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from your use of the Material (including Software) or your breach of the terms of this Agreement. ACUTIMES shall provide notice to you promptly of any such claim, suit, or proceeding and shall assist you, at your expense, in defending any such claim, suit or proceeding.

Section 13. Export Control

The United States controls the export of products and information. You agree to comply with such restrictions and not to export or re-export the Materials (including Software) to countries or persons prohibited under the export control laws. By downloading the Materials (including Software), you are agreeing that you are not in a country where such export is prohibited or are a person or entity to which such export is prohibited. You are responsible for compliance with the laws of your local jurisdiction regarding the import, export, or re-export of the product.

Section 14. Termination

You agree that ACUTIMES, in its sole discretion, may terminate your account and use of the Services on the Web Site, and remove and discard any Material or Services within the Web Site, for any reason, including, without limitation, for lack of use or if ACUTIMES believes that you have violated or acted inconsistently with the letter or spirit of the TOU. ACUTIMES may also in its sole discretion and at any time discontinue providing the Web Site, or any part thereof, with or without notice. You agree that any termination of your access to the Web Site under any provision of the TOU may be effected without prior notice. You agree that ACUTIMES shall not be liable to you or any third-party for any termination under this Agreement.

ACUTIMES won't give you any refund if you subscribe to any of ACUTIMES’ paid services for a specified period of time ("Subscription Period") and such subscription is terminated prior to expiration of the Subscription Period, unless such subscription is terminated by ACUTIMES without cause, is terminated due to ACUTIMES’ default or nonperformance, or is expressly allowed in writing to be terminated by you at any time prior to expiration of the Subscription Period.

Section 15. Renewal of Paid Membership Service

You agree that your Paid Membership will be automatically renewed at the end of each paid-membership period for the same length of the period chosen most recently by you unless either ACUTIMES or you give written notice of non-renewal to the other party prior to the end of your paid-membership period. Your credit card provided to us most recently will automatically be charged the then-current membership fee for the paid-membership service at the commencement of each renewal period. All fees are non-creditable unless otherwise provided.

Section 16. General

This Web Site is based in Sunnyvale, California. ACUTIMES makes no claims the Material are appropriate or may be downloaded outside of the United States. Access to the Material (including Software) may not be legal by certain persons or in certain countries. If you access the Web Site from outside of the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. This Agreement is governed by the internal substantive laws of the State of California, without respect to its conflict of laws principles. User and ACUTIMES agree to submit to the exclusive jurisdiction of the federal and state courts located in the County of Santa Clara, California. If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term. User and ACUTIMES agree that any cause of action arising out or relating to the Web Site, Services or Materials must commence within one (1) year after the cause of action arose; otherwise such cause of action is permanently barred. The section titles in this TOU are solely used for the convenience of the parties and have no legal or contractual significance. Besides the Web Site, ACUTIMES and/or its affiliate companies operate several other web sites outside the United States. The services provided on ACUTIMES non-US web sites are governed by different terms of use and the applicable laws of the jurisdiction in which such web site resides.
